Articles of Association for Aktia Bank plc

Article 1 Business name and domicile
The business name of the company is Aktia Bank Abp in Swedish, Aktia Pankki Oyj in Finnish and Aktia Bank p.l.c. in English.

The domicile of the company is Helsinki.

The designation "bank" is used when referring to the company in these articles of association.
 

Article 2 Field of operations and types of activities 
The bank engages in business operations which are permitted for deposit banks.

The bank offers investment services as referred to in section 5 of the Securities Companies Act, and deposit and management services as referred to in section 15, subsection 1, paragraph 1 of the said act. 

The bank is a common central financial institution for credit institutions belonging to the Savings Banks’ Security Fund (Säästöpankkien vakuusrahasto, Business ID 0222778-6) and for credit institutions belonging to the POP Banks’ Security Fund (Paikallisosuuspankkien vakuusrahasto, Business ID 1597846-6).

The bank is the central financial institution for credit institutions within the guarantee funds for savings banks (Säästöpankkien Vakuusrahasto, Business ID 0222778-6) and POP Banks (Paikallisosuuspankkien Vakuusrahasto, Business ID 1597846-6). 
 

Article 3 Board of Directors
The number of Board members is at least five (5) and not more than twelve (12).

The term of office for a Board Member is one calendar year. No person who has reached the age of 67 before the beginning of the term can be elected to serve on the Board.

The Board of Directors can set up committees to handle administrative issues in the bank in cases when these include making decisions regarding financial risks.
 

Article 4 Representing the company 
The following parties can represent the company: two members of the Board of Directors together or one member together with the Managing Director or a person in the bank authorised by the Board of Directors or two persons authorised by said Board together.
 

Article 5 Financial year
The bank’s financial year consists of one calendar year.
